The terms governing your use of our website and the advisory services we provide.

These Terms of Service ("Terms") govern your use of the salientformation.com website ("Site") and any related services provided by Salient Formation ("we", "us", "our"). By accessing the Site or engaging us for advisory services, you agree to these Terms.

1. Acceptance of terms

By accessing or using our website, you confirm that you accept these Terms and agree to comply with them. If you do not agree with any part of these Terms, please do not use the Site.

2. Nature of services

Salient Formation is a corporate services and structuring advisory firm. We are not a law firm, accounting firm, or licensed financial advisor. We provide advisory services on UAE company formation, structuring, residency, and ongoing compliance. Where legal or tax opinions are required, we coordinate with appropriately qualified independent professionals.

3. No solicitor-client or fiduciary relationship

Use of this Site, including the submission of inquiry forms or download of materials, does not create a solicitor-client, accountant-client, or fiduciary relationship between you and Salient Formation. A formal engagement is established only through a signed engagement letter setting out the scope, deliverables, and fees.

4. Accuracy of information

We make reasonable efforts to ensure that information on this Site is accurate and current. However, content is provided for general informational purposes only and may not reflect the most recent regulatory developments. Always seek tailored professional advice before acting on any information found here.

5. Intellectual property

All content on the Site β€” including text, graphics, logos, the UAE Offshore Structuring Playbook, and any other downloadable materials β€” is the intellectual property of Salient Formation and protected by international copyright and trademark law. You may view, download, and print materials for personal or internal business reference, but you may not redistribute, republish, or commercially exploit any content without our prior written permission.

6. User-submitted information

When you submit information through forms or by email, you confirm that the information is accurate and that you have the right to share it. You grant us a non-exclusive, royalty-free license to use submitted information for the purpose of responding to your inquiry and (if you become a client) delivering services to you. Submission of information does not waive any privacy rights β€” refer to our Privacy Policy for details.

7. Engagement and fees

When you engage Salient Formation, the terms of that engagement β€” including scope of work, deliverables, timelines, fees, and payment terms β€” are set out in a written engagement letter signed by both parties. Fees are payable in advance unless otherwise agreed in writing. Disbursements and third-party fees (government, banking, registry) are billed at cost in addition to our professional fees.

8. Cancellation and refunds

If you cancel an engagement before work has commenced, fees paid will be refunded less any actual costs incurred. Once formation or licensing applications have been submitted to a UAE authority, fees are generally non-refundable as the work has been performed. Refund requests are considered case-by-case.

9. Confidentiality

We treat all client information as confidential, subject only to disclosures required by law (anti-money laundering, sanctions, court order, regulatory inquiry). We require the same confidentiality obligations from our staff, contractors, and service providers. Confidentiality survives termination of the engagement.

10. Limitation of liability

To the maximum extent permitted by law, Salient Formation's total aggregate liability arising from or in connection with any engagement is limited to the fees paid by the client for that engagement in the preceding 12 months. We exclude liability for indirect, consequential, or punitive damages, including loss of profits, loss of opportunity, or loss of goodwill, whether arising in contract, tort, or otherwise.

11. Indemnity

You agree to indemnify and hold Salient Formation harmless from any claims, liabilities, damages, or costs arising from inaccurate or incomplete information you provide, your breach of these Terms, or your use of Site content in ways not permitted by these Terms.

12. Third-party services and links

Our Site may contain links to third-party websites, services, and tools (Calendly, Formspree, Google Analytics, banking partners, registries). We do not control these third parties and are not responsible for their content, privacy practices, or availability. Use of any third-party service is subject to that party's terms.

13. Compliance with law

You agree to provide truthful and complete information for all KYC, AML, sanctions screening, and substance documentation. You confirm you are not a sanctioned person and that the funds and activity associated with any engagement are from lawful sources. We reserve the right to decline or terminate any engagement that we believe presents legal, regulatory, or reputational risk.

14. Governing law and jurisdiction

These Terms and any engagement letter are governed by the laws of the Dubai International Financial Centre (DIFC) and the United Arab Emirates federal law where applicable. The DIFC Courts have exclusive jurisdiction over any disputes arising out of or in connection with these Terms or any engagement.

15. Changes to these terms

We may update these Terms from time to time. The "last updated" date below reflects the most recent version. Continued use of the Site after changes constitutes acceptance of the updated Terms.
